Mr. Smith graduated in geology from the University of British Columbia in 1975 and has been engaged in junior and senior management roles in the domestic and international Oil & Gas Industry. Mr. Smith’s experience encompasses the exploration, development and production of hydrocarbons, negotiating Joint Ventures and Production Sharing Agreements and engaging and managing professionals and support staff to develop and grow private and public Oil & Gas Companies. He has occupied the roles of Officer and Director of TSX, AIM, OTC BB and TSX-V firms. Mr. Smith has been a Director of the Company since 2006.
CHAIRMAN & DIRECTOR RICHARD WADSWORTH P. ENG
Mr. Wadsworth holds a chemical engineering degree from the University of Calgary, and is a registered Professional Engineer with APEGA. Mr. Wadsworth has more than 23 years of successful experience in developing unconventional resource projects. Mr. Wadsworth started his career with Koch Oil and was seconded to Premier Oil LLC to evaluate the Patos Marinza field in Albania. Mr. Wadsworth was manager of the joint venture Anglo-Albania company from 1999 until 2004, when the joint venture concluded. Mr. Wadsworth re-structured the team and became the co-founder of Bankers Petroleum Ltd., and was President and COO from 2004 to 2008. During this period, he led Bankers in re-developing its bitumen field and building a comprehensive team, with the necessary infrastructure and external relationships resulting in reserves growing to over 150 million barrels and production from 500 bopd to over 6,000 bopd. Mr. Wadsworth joined Pennine’s board of directors in January 2016.

Mr. Holub, who received his Chartered Accountant designation in 2001, has held leadership positions with numerous private and public energy companies -- including those based in Morocco, Colombia, Tunisia, Indonesia and the United States -- and accrued extensive experience in financial reporting, accounting, financial modeling and taxation.

Mr. Saxinger is Manager of Projects with Vepica Ltd., an engineering, procurement and construction management company active in the domestic and international oil and gas industries. Mr. Saxinger has been in the Energy Industry for over 22 years, with 13 years in a shop fabrication engineering environment. Mr. Saxinger graduated from the University of Saskatchewan in 1992, acquiring his Alberta P. Eng professional designation in 1995. Mr. Saxinger has been a director of Pennine since 2008.

Mr. Gertz is an owner of an industrial fabrication firm and has been involved with the oil and gas and investment industry for over 18years. He is a Graduate of Northern Alberta Institute of Technology, class of 1977.
NON-EXECUTIVE DIRECTOR JON HARRIS
Mr. Harris, a London-based international management consultant, has more than 30 years of experience, with a focus on project management, process engineering and business analysis. Mr. Harris has served as a Non-Executive Director for several AIM- and TSX-listed companies, including Albania-based Bankers Petroleum Ltd. from 2004 through 2016. He also has experience in leading two AIM listings for clients in the past decade. As a consultant, Mr. Harris has successfully led a series of projects for clients involved in early-stage mineral exploration in French-speaking West Africa. Mr. Harris has both United Kingdom and Zimbabwean citizenship. He holds a Master of Business Administration (MBA) degree from the London Business School, a Bachelor of Science degree in Chemical Engineering from South Africa’s University of Natal, and a Financial Times Non-Executive Director (NED) Diploma.
ENGINEERING CONSULTANT RANDY S. MARSHALL P. ENG
Mr. Marshall is a graduate of the University Of Tulsa, class of 1967, and acquired his Alberta P. Eng. professional designation in 1969. Mr. Marshall has provided Professional Consulting services to numerous Public and Private Oil and Gas Exploration Companies in the Upstream Sector of the Oil and Gas industry through strengths in economics, property evaluations, drilling, completions, work overs, facility design and construction, pipeline design and construction, production operations, project management, engineering and administration. Mr. Marshall has acted in senior management, supervisory or director roles for firms such as Sulpetro Limited; Esso Resources; Bowtex Energy (Canada) Corporation; New Cache Petroleum Ltd.; Bellevue Resources Ltd.; Landstar Exploration Inc.; Mera Petroleum; and Tanager Energy Inc.
VP OPERATIONS ALBANIA CAREY CHILLIAK
Mr. Chilliak was named Pennine’s Vice President of Operations, Albania effective Jan. 1, 2018. Mr. Chilliak is a technically advanced Supply Chain Management professional, with more than 25 years’ experience—19 of those international. Prior to joining Pennine, Mr. Chilliak served as Supply Chain Manager for a Petromanas-Shell joint venture from September 2012 through May 2016, based in Tirana and Calgary. He also held similar posts in Kurdistan and Iraq for Talisman Energy, and in Kazakhstan for Condor Energy and Nations Energy Limited.
ACCOUNTING CONSULTANT R. BRYAN WHITBY
Mr. Whitby graduated from the University of Saskatchewan in Accounting in 1966 and obtained his CA designation in 1969. Mr. Whitby articled with Price Waterhouse and subsequently acted in senior accounting positions in major and junior companies of the Canadian Oil & Gas Industry. Mr. Whitby has been with Pennine since 2007
